Terms of Service
Last updated: November 2, 2026
These terms are an agreement between you and Reza Karami, a sole proprietor in Etobicoke, Ontario, Canada, operating DropAgent. There is no registered company. DropAgent is ringless voicemail plus SMS for businesses and AI agents. Creating a workspace, calling the API, or sending a message means you agree to these terms, the acceptable use rules, and the Privacy Policy.
The service.
A workspace can upload or generate audio, queue ringless voicemail, and send SMS, including a text after a voicemail. You can use the website, the REST API, or MCP. Delivery depends on the carrier. A queued drop is not a promise that the voicemail will arrive, or that a phone will never ring.
The software can block a send that has no consent record, that hits an opt-out or the workspace do-not-call list, or that falls outside calling hours. Those checks are not legal advice and they are not a guarantee that a campaign complies with the law.
Accounts.
You need an email address you control and a caller ID you are allowed to use. You are responsible for the workspace, its API keys, and anyone you let in, including an AI agent. An agent follows the same rules you do. Tell us at [email protected] if a key leaks.
Credits and payment.
Pricing is credits-based. Current plans and packs are on the pricing page. Payments go through Stripe. Cancellation, credit rollover, and refunds for failed drops are on the refunds page. That page is part of these terms.
Consent for every recipient.
You must have documented consent for every recipient before you contact them. The record needs the time they agreed, where you collected it, how you collected it, and the exact text they agreed to. DropAgent can store that record. DropAgent does not create the consent. Uploading a number you do not have consent for breaks these terms.
You are responsible for the content of every voicemail and text, and for making clear which business the message is from.
Messaging laws.
You must follow the laws that apply to your messages, including:
- the Telephone Consumer Protection Act (TCPA) and other United States federal and state telemarketing rules
- Canada’s Anti-Spam Legislation (CASL) and the Unsolicited Telecommunications Rules
- quiet hours
- Do Not Call rules
Quiet hours: DropAgent can hold a message outside the workspace calling window. The default window is 8:00 a.m. to 9:00 p.m. in the contact’s time zone. You must still follow any stricter hours the law requires. The software hold does not replace your own check.
DropAgent does not scrub the national Do Not Call (DNC) list. You are responsible for scrubbing numbers against the National Do Not Call Registry and any other do-not-call list that applies to your campaign. You can import numbers to the workspace do-not-call list. Numbers on that list are blocked. That list is yours. It is not the national registry.
STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT opt a recipient out of further voicemail and SMS. STOPVM is voicemail only. Do not try to send around an opt-out.
Acceptable use.
Do not use DropAgent for illegal or deceptive content or conduct. This includes:
- contacting a person without the documented consent described above
- impersonating a person or a business, or hiding who the message is from
- false or misleading claims, fraud, harassment, or threats
- content that is unlawful where it is sent or where it is received
SMS has to follow carrier content rules. The product blocks some categories, including adult sexual content, cannabis, firearms, tobacco, alcohol, and gambling, and it blocks public URL shorteners. A carrier can still reject a message. Do not try to evade a block.
Voice cloning needs a voice sample and a stored record that you have permission to use that voice. Do not clone a voice you do not have rights to. ElevenLabs processes the sample when that feature is on.
Suspension.
We may suspend sending, disable a workspace, revoke keys, or close an account if we believe these terms are broken, if a carrier or a regulator requires it, or if the traffic is unlawful, deceptive, or abusive. We may act without advance notice when the risk is immediate. We email the account address when we reasonably can.
Suspension for a breach is not, by itself, a cash refund. Credit handling is described on the refunds page. We may also refuse a new signup.
Your content.
You keep ownership of the audio, scripts, and contact data you upload. You give us a limited right to host, transmit, and process that material so we can provide the service. You promise you have the rights required to upload it, including any voice you clone.
Disclaimers.
The service is provided as available. We do not guarantee delivery, uptime, or a reply. We do not provide legal advice. You are responsible for your campaigns. Security practices that exist today are described on the security page.
Liability.
To the extent Ontario law allows, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or carrier penalties that result from your campaign. Our total liability arising out of the service in any twelve-month period is limited to the amount you paid us for the service in that period. This limit does not apply to liability Ontario law does not allow a contract to limit, including fraud.
Governing law.
These terms are governed by the laws of Ontario, Canada, and the federal laws of Canada that apply in Ontario. The courts of Ontario have jurisdiction, except where a law gives a person a right to sue somewhere else that cannot be waived.
Changes.
We may update these terms by posting a new version on this page and changing the date above. If you keep using DropAgent after the update, the new terms apply. If you do not agree, stop using the service and email us to close the workspace.
